This paper discusses various forms of corporate mismanagement resulting in the abuse of shareholders and/or stakeholders, focusing especially on the stakeholders, who lack the option of a derivative suit and who, I think then, need a larger voice in corporate governance. This paper also discusses 1) possible causes of, and 2) proposed solutions to, such corporate abuse. This paper argues that a free-market solution to corporate mismanagement and abuse, i.e. one that is largely free from government regulation, will only be possible if a critical mass of individuals use their freedom responsibly.
